Munich, July 16, 2025: Rödl advised US-based HBH Holdings, Inc., a privately held industrial group based in Cincinnati, Ohio, on the acquisition of all shares in KÖNIG + CO. GmbH, an industry leader of vessel heads, cones and special pressed parts.
An interdisciplinary team from Rödl provided comprehensive legal, tax and financial advisory throughout the acquisition process. Mario Schulz took over the project management and headed together with Moritz Sippel the legal team that supported HBH Holdings with the deal structuring, financing and negotiation. Alexander Awan led the financial team and assisted HBH Holdings in all phases of the transaction, in particular with the financial due diligence. Lukas Fischer was responsible for the transaction tax advisory. Claudia Geercken led the team advising on necessary regulatory approvals while Victoria Caliebe took care of the employment aspects.
The acquisition of KÖNIG + CO. is an important strategic step for HBH Holdings on its way to becoming one of the world’s leading manufacturers of vessel heads. It is also HBH Holdings’ first acquisition in Europe.
