Rödl advises Todaytec on the Acquisition of the CALOR Group
Stuttgart, March 26, 2025: Rödl advised Hangzhou Todaytec Digital Co., Ltd. (“Todaytec”) on the acquisition of the Franco-German CALOR Group. Todaytec is one of the world's leading coaters for thermal transfer films.
The companies of the CALOR Group, Calor Gesellschaft für Thermotransfer-Druckverfahren mbH based in Baesweiler (“CALOR”) and REGMA Transfer Thermique SAS based in Arques-la-Bataille, France (“REGMA”), are manufacturers, coaters and suppliers of thermal transfer ribbons. Both companies enjoy a high level of recognition and have extensive expertise in coating technology.
The acquisition is an important step in Todaytec’s international expansion. Through this acquisition, Todaytec strengthens its presence in Europe and increases its competitiveness in the market.
Rödl advised Todaytec comprehensively on legal, tax and financial aspects with an inter-national expert team. Jiawei Wang, head of the Rödl China Desk, took over the overall project management and led the negotiations on the buyer’s side. Claudia Geercken led the legal advisory, which included due diligence, transaction documentation and regulatory approvals. Dr. Melanie Köstler was responsible for tax advice, including tax due diligence and structuring. Laurence Cuillier led the French team and supported the client in all phases of the transaction, in particular on contractual, IP/IT and employment law matters. Christoph Hinz and Alexander Awan took care of the financial aspects, including the financial due diligence.
