Stuttgart/Shanghai, 23 August 2021: Rödl & Partner has comprehensively advised the listed Chinese automotive supplier Hamaton Automotive Technology Co., Ltd. (Hamaton) on a successful capital increase in the context of a private placement. In the current financing round, the company, which is listed on the Shenzhen Stock Exchange, issued 30 million new shares at the price of Renminbi (RMB) 9.92 per share and raised proceeds in the amount of RMB 297.6 million (approx. EUR 38 million). The new shares were subscribed by institutional and private investors. The collected funds will be used for the strategic development of the company, including the expansion plan of the subsidiary Westfalia Metal Components (Shanghai) Co., Ltd.
Rödl & Partner advised the client in this project with an expert team, covering all legal aspects of Hamaton's overseas subsidiaries. The Rödl & Partner team executed legal due diligence review on the client's European subsidiaries in accordance with the listing rules of the Shenzhen Stock Exchange and issued legal opinions respectively under the laws of Germany, UK, Czech Republic and Poland. Furthermore, the expert team also coordinated the legal advisory in the North American market for the client. The team was led by Partner Jiawei Wang (Head of China Practice Stuttgart). The German part was executed by Thomas Fräbel from the Munich office. Hans-Ulrich Theobald from the Prague office advised the client in the Czech Republic.
