Rödl & Partner advises WIKA on the acquisition of IDOSENS in France

Klingenberg / Paris / Grenoble, 26 April 2018: Rödl & Partner advised the WIKA Group on the acquisition of IDOSENS SAS, an Internet of Things (“IoT”) company with offices in Meylan, close to Grenoble, France, from Semtech Holdings France and two private shareholders. The parties agreed not to disclose details of the transaction.

 

With the acquisition of IDOSENS, WIKA widens its product portfolio of solutions for the market of the Industrial Internet-of-Things (“IIoT”).

 

The focal points of the advisory services rendered by an interdisciplinary M&A team of Rödl & Partner included financial, legal and tax due diligence. Rödl & Partner also advised the buyer WIKA during negotiations and in drafting the share purchase agreement as well as in the execution of the closing. The project management was conducted by attorney at law and office head Nicola Lohrey (legal due diligence) as well as auditor and tax consultant Susanne Wiener (financial due diligence).

IDOSENS was founded in March 2015 in Meylan (near Grenoble, France), backed by the Semtech Corporation, a US-based supplier of analog and mixed-signal semiconductor devices. The company develops and provides solutions and products in the Internet-of-Things (“IoT”) market for individual and industrial users (“IIoT” – Industrial Internet-of-Things), specialising in measurement technology (movement, temperature, humidity, geolocation).

 

The highly qualified IDOSENS personnel is in particular specialised in radio frequency, firmware, software or mechatronics. The company's key know-how is the research and development of machine-to-machine communication solutions. In this regard, IDOSENS has engaged several strategic partnerships with major industry players.
